Terms of Service

Some entity fields (legal name, address, jurisdiction) are still being finalized and appear as [PLACEHOLDER]. We can share a signed Data Processing Agreement (DPA) and a Master Services Agreement (MSA) on request.

These terms govern the use of this website and any services delivered by MCP Tool Development ([LLC_PENDENTE] / [CNPJ_PENDENTE]). Specific engagements are governed by the signed proposal or MSA — those documents prevail over what follows if they conflict.

1. Services

We design, build, and host small custom MCP servers that bridge AI clients to your tools. Scope, deliverables, and timeline are defined per engagement in a written proposal you accept by reply or signature.

2. Fees and payment

Project fees and payment terms are stated in the accepted proposal. Pilot engagements are typically invoiced 50% on kickoff and 50% on delivery, net 15. Ongoing hosting and maintenance is billed monthly in advance.

3. Intellectual property

On full payment, you receive a perpetual, worldwide, royalty-free license to use, modify, and run the deliverables of your engagement. We retain rights to generic components, libraries, and know-how developed in the process and used across customers.

4. Confidentiality

We treat your business information, data, and integrations as confidential and do not disclose them outside our team without your written consent. We may reference the engagement in public materials only in anonymized form unless we agree otherwise in writing.

5. Warranties and disclaimers

We warrant the services will be performed in a professional manner. Software is delivered as-is. We do not warrant uninterrupted operation of third-party platforms (Slack, monday.com, etc.) on which the MCP server depends.

6. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any engagement is limited to the fees paid by you for that engagement in the 12 months preceding the claim.

7. Governing law

These terms are governed by the laws of [JURISDICTION_PENDENTE]. Any dispute will be resolved in the courts of [JURISDICTION_PENDENTE], unless the parties agree to arbitration.
